Terms of Service

1Introduction
Welcome to BPMN AI. These Terms of Service govern your use of our website and services. By accessing or using BPMN AI, you agree to be bound by these Terms and our Privacy Policy.
2Definitions
"BPMN AI" refers to our BPMN diagram generation and collaboration platform.
"Service" refers to the applications, features, websites, and other services provided by Adisa Technologies FZE, operating under the trade name BPMN AI.
"User" refers to individuals who register for and use our Services.
"Consumer" refers to a natural person who buys or uses the Service wholly or mainly outside their trade, business, craft or profession.
"Business Customer" refers to a person who buys or uses the Service in the course of a business, trade, craft or profession, and who self-classifies as such at the time of purchase or in account settings. A purchase by a User who has not self-classified as a Business Customer is treated as a purchase by a Consumer.
"Usage Credit" refers to a non-transferable, non-reloadable, account-bound prepaid unit of access to paid export actions for BPMN diagrams generated on the Service — specifically, removing the watermark from a PNG export, or exporting a diagram in PDF, SVG, or BPMN XML format. Usage Credits are sold in credit packs and do not unlock or extend diagram-generation allowances; generation allowances are governed by your subscription plan (Free monthly cap, or Pro/Team unlimited). Usage Credits are not gift cards, not stored-value instruments, not a means of payment to third parties, and not regulated consumer credit.
3Account Registration
To use certain features of our Service, you must register for an account. You may register using email and password or through a supported third-party authentication provider such as Google. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
Regardless of your sign-in method, you are responsible for maintaining the security of your account and for all activity that occurs under it. You agree to immediately notify BPMN AI of any unauthorized use of your account. When you authenticate through a third-party provider, you are also subject to that provider's terms of service.
4Subscription and Payments
BPMN AI offers various subscription plans with different features and pricing. By selecting a paid subscription, you agree to pay the subscription fees as described at the time of purchase.
Subscription fees are billed in advance on a monthly or annual basis. All payments are non-refundable except as required by law, as explicitly stated in these Terms, or as set out in the Credit Packs terms below (clauses 4.1–4.4).
Credit Packs (Paid Exports)
4.1 What Usage Credits unlock. Usage Credits pay for individual export actions on diagrams generated by the Service. Generating a diagram is governed by your subscription plan (Free monthly cap, or Pro/Team unlimited) and does not consume credits. The current per-action credit cost is:
- PNG export with watermark: 0 credits (free for all users)
- PNG export without watermark: 1 credit
- SVG export: 1 credit
- PDF export: 2 credits
- BPMN XML export: 3 credits
Pro and Team subscribers are not charged credits for any export; their exports are included in the subscription. The per-action cost above applies to Free-plan users who hold a credit balance.
4.2 Credit Expiration. Credits purchased via credit packs expire 60 days from the date of purchase. Unused credits at expiration are forfeited. The expiration date is shown at the point of purchase and in the post-purchase confirmation email. We will email you reminders before your credits expire, and this term is brought to your attention at the point of purchase.
4.3 Refunds. Nothing in this section affects your statutory rights, including any right to a remedy where a paid export is not provided with reasonable care and skill, where the digital content does not conform to its description, or any equivalent right under the laws of your country of residence.
A Usage Credit is "consumed" when the Service has delivered the completed paid export file (an unwatermarked PNG, a PDF, an SVG, or a BPMN XML file) in response to your request and the credit has not been automatically refunded under clause 4.4.
For Consumers. When you buy a credit pack you expressly request that we make the Usage Credits available to you immediately and acknowledge that, once a Usage Credit has been consumed, you lose the right to cancel that Usage Credit. On that basis, Usage Credits already consumed are non-refundable. Unused Usage Credits remain refundable: a refund requested within 14 days of purchase will be honoured on a pro-rata basis for unused Usage Credits only, calculated as (credits_remaining ÷ credits_purchased) × purchase_price. The same formula applies to packs purchased at a volume discount.
For Business Customers. Usage Credits are non-refundable once issued, except as provided in clause 4.4.
4.4 Automatic Refund for Export Failures. If a credit is consumed but the export render fails due to a system error (such as a watermarking or rasterization failure), and not due to user error (such as a corrupted diagram payload), the credit is automatically restored to the user's balance. This is in addition to, and does not limit, your statutory rights.
4.5 Credits Do Not Unlock Generations. Usage Credits cannot be spent on, and do not affect, the monthly diagram-generation allowance of your subscription plan. Reaching the Free monthly generation cap does not draw from your credit balance — it prompts an upgrade to a paid plan.
4.6 Non-Transferable. Credits are tied to the purchasing user account. Credits cannot be transferred between accounts (including members of a Team workspace), assigned, or sold to third parties.
4.7 Subscription Benefits Are Separate. Cancelling a Pro or Team subscription does not convert any included "unlimited" usage into a credit balance. Credit packs and subscriptions are separate entitlements.
5Intellectual Property Rights
5.1 Our Content
All content, features, and functionality of the Service, including but not limited to all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof, are owned by Adisa Technologies FZE, its licensors, or other providers and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
5.2 Your Content
You retain ownership of any intellectual property rights that you hold in content you upload to the Service. By uploading content, you grant Adisa Technologies FZE a non-exclusive, royalty-free license to use, reproduce, and display your content solely as necessary to provide and improve the Service.
5.3 Publicity Rights
You grant Adisa Technologies FZE the right to identify you as a customer and to use your company name in marketing materials, customer lists, and on the bpmnai.com website. You may revoke this permission at any time by emailing support@bpmnai.com.
6Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws or regulations
- Infringe upon or violate our intellectual property rights or those of others
- Transmit any material that is defamatory, offensive, or otherwise objectionable
- Engage in any activity that could disable, overburden, or impair the Service
- Use any robot, spider, or other automatic device to access the Service
- Collect or harvest any information from the Service
7Data Usage and Privacy
We collect and process personal data as described in our Privacy Policy. By using our Service, you consent to such processing and you represent that all information you provide is accurate.
8Service Level
We target 99.5% uptime for the Service, measured on a monthly basis, excluding scheduled maintenance windows. Scheduled maintenance will be communicated at least 48 hours in advance via email to registered users. This target is a goal, not a guarantee, and does not create any right to credits or refunds.
9Data Retention & Deletion
We retain your data for as long as your account is active. Upon account deletion, we will remove your personal data and process diagrams within ninety (90) days, except where retention is required by law. You may request data export or deletion at any time by contacting support@bpmnai.com.
10Disclaimer of Warranties
(a) The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, including DIFC Law No. 6 of 2005 (Implied Terms in Contracts and Unfair Terms Law), BPMN AI expressly disclaims all conditions, warranties, and other terms, whether express or implied, including any implied terms relating to satisfactory quality, fitness for a particular purpose, and reasonable care and skill.
(b) Without limiting the generality of the foregoing, BPMN AI does not warrant or represent that: (i) the Service will be uninterrupted, timely, secure, or free from errors or defects; (ii) the results obtained from the use of the Service, including any BPMN diagrams generated by the AI features, will be accurate, complete, or reliable; or (iii) any defects in the Service will be corrected within any particular timeframe.
(c) No information or advice, whether oral or written, obtained by the User from BPMN AI or through the Service shall create any warranty or representation not expressly set out in these Terms.
(d) The User acknowledges that BPMN diagrams generated by the Service are produced by artificial intelligence and may contain errors, omissions, or structural inaccuracies. The User is solely responsible for reviewing, validating, and approving any output before relying upon it for compliance, governance, or operational purposes.
(e) Nothing in this clause shall exclude or limit any warranty or liability that cannot be excluded or limited under applicable law, including DIFC law.
11Limitation of Liability
(a) Subject to clause (e) below, BPMN AI shall not be liable to the User, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any: (i) loss of profits, revenue, or anticipated savings; (ii) loss of business opportunity or goodwill; (iii) loss of or corruption to data; or (iv) any indirect, special, or consequential loss or damage, howsoever arising, even if BPMN AI has been advised of the possibility of such loss or damage.
(b) Subject to clause (e) below, the total aggregate liability of BPMN AI to the User in respect of all claims arising out of or in connection with these Terms or the Service, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the greater of: (i) the total fees paid by the User to BPMN AI during the twelve (12) month period immediately preceding the event giving rise to the claim; or (ii) one hundred United States Dollars (US $100).
(c) The User acknowledges that the fees payable under these Terms have been calculated on the basis of the limitations and exclusions of liability set out in this clause, and that such limitations and exclusions represent a reasonable allocation of risk between the parties.
(d) Each sub-clause of this clause operates separately. If any part is held to be unreasonable or unenforceable, the remaining sub-clauses shall continue to apply to the fullest extent permitted by law.
(e) Nothing in these Terms shall exclude or limit liability for: (i) death or personal injury caused by negligence; (ii) fraud or fraudulent misrepresentation; or (iii) any other liability that cannot be excluded or limited under DIFC law.
12Force Majeure
BPMN AI shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay results from circumstances beyond its reasonable control, including acts of God, natural disasters, pandemic or epidemic, war, terrorism, civil unrest, government action or regulation, power failure, internet or telecommunications failure, failure of third-party hosting or cloud infrastructure providers, cyberattack, or denial-of-service attack. In the event of a force majeure event continuing for more than thirty (30) consecutive days, either party may terminate these Terms by giving written notice to the other party.
13Modifications to the Service
We reserve the right to modify the Service. Material changes will be communicated at least thirty (30) days in advance via email or in-app notification. Continued use after notification constitutes acceptance.
14Termination
Adisa Technologies FZE reserves the right to terminate your access to all or part of the Service at any time, with or without cause, with or without notice.
15Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Dubai International Financial Centre (DIFC), which are based on common law principles. The parties expressly agree to submit to the exclusive jurisdiction of the DIFC Courts in accordance with Article 14(B) of DIFC Law No. 2 of 2025.
Mandatory consumer-protection rights preserved. Nothing in these Terms removes or restricts mandatory consumer-protection rights you may have under the laws of your country of habitual residence, including (without limitation) the UK Consumer Rights Act 2015 and Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, Regulation (EC) 593/2008 (Rome I) article 6 for EU consumers, the United Arab Emirates Federal Decree-Law No. 15 of 2020, and applicable US state consumer-protection law. Where any term of these Terms conflicts with such mandatory rights, those rights prevail to the extent of the conflict and the remainder of these Terms continues in force.
16Dispute Resolution
Any dispute arising from or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation for a period of thirty (30) days. If unresolved, the dispute shall be submitted to the exclusive jurisdiction of the Dubai International Financial Centre (DIFC) Courts, Dubai, United Arab Emirates. For claims up to 500,000 AED, disputes may be referred to the DIFC Small Claims Tribunal.
Consumer forum. If you are a Consumer (as defined in clause 2) resident in the United Kingdom, the European Union or the European Economic Area, you may also bring proceedings in the courts of your country of residence, and we may only bring proceedings against you in those courts. EU consumers may additionally use the European Commission Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.
US consumers — informal dispute resolution. If you are a Consumer resident in the United States, you agree to first contact us at legal@bpmnai.com with a written description of your dispute. We will attempt to resolve the dispute informally within sixty (60) days of receipt. Nothing in this clause requires you to waive any non-waivable consumer-protection right available under applicable US state law.
17Changes to Terms
Adisa Technologies FZE reserves the right to modify these Terms at any time. If we make changes, we will provide notice by revising the date at the top of these Terms and, in some cases, providing additional notification.
